1. Introduction

Welcome to Hanixa Technology. These Terms and Conditions ("Terms") govern your use of our software development, web development, mobile applications, and technology consulting services. These Terms apply to all clients, visitors, and users of our services.

Hanixa Technology is a professional software development company located in Coochbehar, West Bengal, specializing in high-quality technology solutions for businesses, startups, and organizations worldwide.

2. Acceptance of Terms

By engaging our services, accessing our website, or entering into a service agreement with Hanixa Technology, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our services.

3. Our Services

Hanixa Technology provides the following professional services:

  • Custom Software Development
  • Web Application Development
  • Mobile Application Development (iOS & Android)
  • Cloud Solutions and Infrastructure

  • Technology Consulting and Strategy

All services are provided on a project basis unless otherwise specified in a separate service agreement. Service specifications, timelines, and deliverables will be outlined in individual project proposals.

4. Client Responsibilities

As our client, you are responsible for:

  • Providing accurate project requirements and technical specifications
  • Supplying all necessary access credentials and documentation
  • Ensuring you have rights to all provided content and data
  • Making timely payments as per agreed terms
  • Providing feedback and approvals within specified timeframes
  • Communicating any changes or concerns promptly
  • Respecting intellectual property rights
  • Maintaining confidentiality of sensitive information

4.1 Technical Requirements

You must ensure that all technical requirements:

  • Are clearly documented and communicated at project start
  • Include necessary third-party integrations and dependencies
  • Specify hosting, deployment, and infrastructure requirements
  • Include compliance and security requirements if applicable

5. Payment Terms

5.1 Pricing and Quotes

All pricing is provided in Indian Rupees (INR) and is valid for 30 days from the quote date unless otherwise specified. International clients may be quoted in USD.

5.2 Payment Schedule

  • 50% advance payment required to begin work
  • Remaining 50% due upon project completion and delivery
  • For large projects (₹5 lakhs), milestone-based payments may be arranged
  • Rush delivery may incur additional charges (25-50% premium)
  • Monthly retainer agreements available for ongoing support

5.3 Late Payments

Payments are due within 15 days of invoice date. Late payments may incur a service charge of 2% per month. Project work may be suspended and final deliverables withheld until full payment is received.

6. Intellectual Property Rights

6.1 Client-Provided Content

You retain ownership of all original content, data, and business logic provided to us. You grant Hanixa Technology a non-exclusive license to use this content solely for the purpose of delivering the contracted services.

6.2 Final Deliverables

Upon full payment, you will own the final custom software, applications, and source code developed specifically for your project. Hanixa Technology retains the right to use completed projects for portfolio purposes, case studies, and promotional activities unless otherwise agreed in writing.

6.3 Third-Party Components

Any third-party libraries, frameworks, or services integrated into your project remain the property of their respective owners. Licensing fees for premium components may apply and will be discussed separately.

6.4 Proprietary Methods

Hanixa Technology retains ownership of its proprietary development methodologies, frameworks, and reusable code components that are not specific to your project.

7. Project Timeline & Delivery

7.1 Standard Delivery Times

  • Simple websites: 2-3 weeks
  • Web applications: 4-8 weeks
  • Mobile applications: 6-12 weeks
  • Enterprise software: 3-6 months
  • Complex systems with integrations: 6-12 months
  • Rush delivery available with additional charges

7.2 Revision Policy

Each project includes a specified number of revision rounds based on project scope. Additional revisions beyond the included amount will be charged at ₹5,000 per revision round for minor changes, or quoted separately for major modifications.

7.3 Project Delays

Delays caused by late client feedback, scope changes, or third-party dependencies may extend delivery timelines. We will communicate any delays promptly and provide updated delivery estimates.

8. Limitations of Liability

Hanixa Technology's liability is limited to the total amount paid for the specific project. We are not liable for:

  • Indirect, consequential, or special damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the project value
  • Issues arising from client-provided content or requirements
  • Third-party service outages or security breaches
  • Compatibility issues with future technology updates

Important Notice

Clients are responsible for maintaining backups of all data and content. Hanixa Technology is not responsible for data loss or system failures beyond our direct control.

9. Project Termination

9.1 Client Termination

Clients may terminate projects at any time with 15 days written notice. Completed work will be delivered, and payment will be due for work completed up to the termination date, plus any non-refundable third-party costs incurred.

9.2 Hanixa Technology Termination

We reserve the right to terminate projects in cases of:

  • Non-payment or repeated late payments
  • Provision of illegal or inappropriate content/requirements
  • Unreasonable demands or abusive behavior
  • Breach of these Terms and Conditions
  • Requesting work that violates laws or ethical standards

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes will be resolved through the courts of West Bengal, India. We encourage resolving any issues through direct communication before pursuing legal action.

10.1 Dispute Resolution

In case of disputes, we prefer amicable resolution through direct negotiation. If necessary, mediation through recognized arbitration services may be pursued before legal proceedings.
